Terms of Service

These Terms of Service ("Terms") govern your access to and use of all products, services, and platforms operated by Guerilla Finance Inc. ("Company," "we," "us," or "our"), including DilutionWatch, BiotechSign, StonkWhisper, ChainSifter, and the Guerilla Finance API Marketplace (collectively, the "Services"). By accessing or using any Service, you agree to be bound by these Terms. If you do not agree, do not use the Services.

1. Acceptance of Terms

These Terms constitute a legally binding agreement between you and Guerilla Finance Inc. By accessing or using any Service, you represent that you are at least 18 years old, have read and understood these Terms, and agree to be bound by them. Use of individual Services may be subject to additional platform-specific terms, which are incorporated herein by reference.

2. Description of Services

Guerilla Finance Inc. operates a suite of financial intelligence and research platforms:

DilutionWatch (dilutionwatch.com): Stock dilution tracking, DilutionScore alerts, SEC filing monitoring, and dilution risk intelligence for publicly traded securities.
BiotechSign (biotechsign.com): Biotech and pharmaceutical research data, PDUFA calendars, clinical trial tracking, FDA decision monitoring, and biotech signal aggregation.
StonkWhisper (stonkwhisper.com): Financial sentiment analysis, Whisper Index scoring, congressional STOCK Act trade monitoring, insider activity tracking, options flow aggregation, and market intelligence.
ChainSifter (chainsifter.com): Supply chain intelligence, government procurement data analysis, contractor network mapping, and contract award analytics derived from public federal procurement records.
Guerilla Finance API Marketplace (guerilla-finance.com): Programmatic access to Guerilla Finance data sets and analytics for developers, researchers, and commercial clients.

3. Not Financial Advice

NONE OF THE SERVICES PROVIDE INVESTMENT ADVICE, FINANCIAL ADVICE, TRADING ADVICE, TAX ADVICE, LEGAL ADVICE, MEDICAL ADVICE, REGULATORY ADVICE, PROCUREMENT ADVICE, OR ANY OTHER FORM OF PROFESSIONAL GUIDANCE. ALL DATA, SCORES, SIGNALS, ALERTS, ANALYSES, AND CONTENT ARE PROVIDED FOR INFORMATIONAL AND EDUCATIONAL PURPOSES ONLY. Nothing on any Guerilla Finance platform constitutes a recommendation to buy, sell, or hold any security. 4. No Client or Fiduciary Relationship

Your use of any Service, including any paid subscription, does not create any advisory, fiduciary, broker-dealer, investment manager, or client relationship between you and Guerilla Finance Inc. A subscription is a license for data access only. We owe you no fiduciary duty, duty of loyalty, duty of care, or any other professional duty in connection with your use of any Service or any investment or trading decision you make.

5. Market Risk Acknowledgment

By using any Service, you acknowledge that: (a) investing in securities involves substantial risk of loss, including total loss of capital; (b) biotech investments carry extreme binary risk including the documented possibility of 90–100% loss in a single trading session; (c) financial markets are inherently volatile and unpredictable; (d) past performance is not indicative of future results; (e) no data, score, signal, or alert on any Guerilla Finance platform predicts or guarantees future market performance; and (f) you are solely responsible for independently evaluating all investment risks.

6. User Responsibilities

You are solely responsible for: all investment and trading decisions you make regardless of any information obtained from our Services; conducting your own independent research and due diligence; compliance with all applicable laws, regulations, and rules governing your trading, investing, and business activities; verifying all data from primary sources before making any decision; and seeking professional advice (financial, legal, tax, medical) as appropriate for your situation.

7. Eligibility and Account Security

You must be at least 18 years old to use the Services. You are responsible for maintaining the security of your account credentials and for all activity under your account. You must promptly notify us of any unauthorized access. We reserve the right to terminate accounts that violate these Terms.

8. Subscription, Billing, and Cancellation

Paid features of the Services are available via subscription billed through Stripe. Subscriptions auto-renew monthly until cancelled. You may cancel at any time from your account settings. Cancellation takes effect at the end of the current billing period. Refunds are available within 7 days of initial subscription signup, or prorated for documented service disruptions lasting more than 48 hours. We may change pricing with 30 days’ advance notice. Continued use after a price change constitutes acceptance. Subscribers with grandfathered pricing retain their rates unless otherwise notified in writing.

9. Intellectual Property

All Services — including the DilutionScore methodology, Whisper Index methodology, BiotechSign scoring algorithms, ChainSifter correlation algorithms, data pipelines, codebases, visual designs, and all associated branding — are the exclusive property of Guerilla Finance Inc., protected by U.S. and international copyright, trademark, and trade secret law. Your access grants you a limited, personal, non-commercial, non-transferable, revocable license to view information through standard browser or API interactions only. No other rights are granted. API clients receive a commercial license as specified in their API agreement.

10. Automated Access and Data Harvesting Prohibition

Except through the authorized API Marketplace, you may not use bots, scrapers, crawlers, headless browsers, or any automated means to access or extract data from any Service. You may not programmatically query non-API endpoints, cache or systematically accumulate data, use Service data to train AI or machine learning models without a written commercial license, sell or redistribute any data, build competing products using Service data, reverse-engineer any methodology or algorithm, or circumvent rate limiting or IP blocks. Violations constitute unauthorized access under the Computer Fraud and Abuse Act (18 U.S.C. § 1030), trade secret misappropriation under the Defend Trade Secrets Act (18 U.S.C. § 1836), and may violate the Digital Millennium Copyright Act (17 U.S.C. § 1201). We monitor access patterns, block violators, and refer criminal violations to federal law enforcement.

11. Acceptable Use

You agree not to: use any Service for market manipulation, coordinated trading schemes, pump-and-dump activity, or securities fraud; attempt unauthorized access to any backend system or non-public endpoint; introduce malicious code or conduct denial-of-service attacks; use any Service for any unlawful purpose; or violate any applicable law or regulation.

12. Data Sources and Accuracy

The Services aggregate data from public sources including SEC EDGAR, FDA databases, ClinicalTrials.gov, SAM.gov, social media platforms, news aggregators, and market data providers. We do not guarantee the completeness, reliability, or timeliness of any data. Data may contain errors, omissions, or delays. Always verify critical information from official primary sources before making any decision.

13. AI-Assisted Content

Some content across the Services may be generated or augmented by artificial intelligence. AI-generated content does not constitute investment, financial, medical, regulatory, or legal advice and may contain inaccuracies, errors, or omissions. Always verify AI-generated content against primary source documents.

14. Third-Party Services

The Services integrate data from third-party providers. Guerilla Finance Inc. is not responsible for third-party service outages, incorrect data, format changes, or API failures. Your use of third-party data accessed through our Services may also be subject to those providers’ terms.

15. Force Majeure

Guerilla Finance Inc. shall not be liable for any failure or delay in performance from causes beyond its reasonable control, including acts of God, natural disasters, pandemic, war, terrorism, government action, power failures, internet outages, cyberattacks, or third-party service failures. During such events, we may suspend or restrict any Service without notice or liability.

16. Disclaimer of Warranties

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT ANY WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, COMPLETENESS, OR RELIABILITY. WE DO NOT WARRANT THAT ANY SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE FROM VIRUSES. YOUR USE OF THE SERVICES IS ENTIRELY AT YOUR OWN RISK.

17. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, GUERILLA FINANCE INC. AND ITS OWNERS, OFFICERS, EMPLOYEES, CONTRACTORS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY TRADING LOSSES, INVESTMENT LOSSES, LOST PROFITS, LOSS OF DATA, LOSS OF GOODWILL, LOST BUSINESS OPPORTUNITIES, OR ANY OTHER DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES ARISING FROM OR RELATED TO YOUR USE OF ANY SERVICE. THIS EXCLUSION APPLIES REGARDLESS OF LEGAL THEORY AND WHETHER OR NOT WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY AND ALL CLAIMS SHALL NOT EXCEED FIFTY U.S. DOLLARS ($50.00).

18. Indemnification

You agree to indemnify, defend, and hold harmless Guerilla Finance Inc. and its owners, officers, employees, contractors, and agents from and against any and all claims, liabilities, damages, judgments, losses, costs, and expenses (including reasonable attorneys’ fees) arising from: (a) your violation of these Terms; (b) your misuse of any Service; (c) any investment or trading decision you make based on information from any Service; (d) your violation of any applicable law or regulation; or (e) your infringement of any third-party rights.

19. Termination

We may restrict, suspend, or permanently terminate your access to any or all Services at any time, for any reason, without notice and without liability — including for violation of these Terms, suspicious access patterns, or any conduct we deem harmful. Termination does not waive our right to pursue legal remedies for past violations. Sections 9, 10, 16, 17, 18, and 20 survive termination.

20. Arbitration and Dispute Resolution

Please read this section carefully — it affects your legal rights, including your right to file a lawsuit in court.

Binding Arbitration. Any dispute, claim, or controversy arising from or relating to these Terms or your use of any Service shall be resolved exclusively through binding individual arbitration administered under the rules of the American Arbitration Association (AAA), rather than in court, except: (a) you may assert claims in small claims court if your claims qualify; and (b) either party may seek emergency injunctive relief in court to protect intellectual property rights or prevent irreparable harm, pending arbitration.

Class Action Waiver. TO THE MAXIMUM EXTENT PERMITTED BY LAW, YOU WAIVE YOUR RIGHT TO PARTICIPATE IN ANY CLASS ACTION LAWSUIT, CLASS-WIDE ARBITRATION, PRIVATE ATTORNEY GENERAL ACTION, OR ANY OTHER REPRESENTATIVE PROCEEDING AGAINST GUERILLA FINANCE INC. ALL CLAIMS MUST BE BROUGHT ON AN INDIVIDUAL BASIS ONLY.

Arbitration shall be conducted in Fulton County, Georgia, or remotely by mutual agreement, under Georgia law. The arbitrator’s decision is final and binding. Any claim must be brought within one (1) year of the cause of action or it is forever barred. Contact admin@dilutionwatch.com to attempt informal resolution (30 days) before initiating arbitration.

21. Geographic Restrictions

The Services are operated from the United States and are intended primarily for U.S. audiences. We make no representation that the Services are appropriate or available in any jurisdiction outside the United States. Users accessing from outside the United States are solely responsible for compliance with applicable local laws. We reserve the right to restrict access from any jurisdiction without notice.

22. Privacy

Your use of the Services is governed by our Privacy Policy, incorporated herein by reference. We do not sell personal data to third parties for monetary consideration.

23. Modifications to the Services and Terms

We reserve the right to modify, update, add, remove, discontinue, or restrict any Service or these Terms at any time. Material changes will be reflected in an updated effective date. Your continued use of any Service after a change constitutes acceptance. For subscription pricing changes, we provide 30 days’ advance notice.

24. Severability and Entire Agreement

If any provision of these Terms is found to be unenforceable or invalid, it shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions remain in full force. These Terms, together with our Financial Disclaimer and Privacy Policy, constitute the entire agreement between you and Guerilla Finance Inc. regarding the Services.
